Dan Churay is a seasoned general counsel and experienced board member who has served on all three standing public company board committees. He has extensive experience leading organizations through transformational initiatives, including major transactions and corporate crises, and is particularly effective in high‑pressure situations.
​
He has served as general counsel and corporate secretary to three Fortune 500® companies, including acting general counsel of Baker Hughes Incorporated and general counsel of Yellow Corporation (YRC Worldwide Inc.) and MRC Global Inc. In addition, he served as Chief Human Resources Officer of MRC Global. Over more than 35 years in public company leadership,
Mr. Churay has also served as CEO of Rex Energy, managed P&Ls, and led a wide range of functions, including legal, HR, labor, cybersecurity, sustainability, risk management, internal audit, safety, marketing, external affairs and corporate services.

Mr. Churay serves on the Executive Committee of the Board of Directors of the Sam Houston Area Council of Scouting America and is an Eagle Scout. He is a recipient of the Silver Beaver Award and the Order of the Arrow Distinguished Service Award.
He earned a B.A. in Economics from the University of Texas at Austin, with minors in Government and English and an emphasis in Computer Science, and a J.D. from the University of Houston Law Center, where he served as Special Projects Editor of the Houston Law Review.

Mr. Churay is a Certified Director and Board Leadership Fellow of the National Association of Corporate Directors where he has received a Certification in Cybersecurity administered by the Carnegie Mellow CERT Division of its Software Engineering Institute. He has served on NACD's General Counsel Steering Committee.
Prior to his legal career, Mr. Churay worked as a software engineer at Applied Research Labs and a programmer/analyst for the City of Houston's Department of Aviation.
